CONTRACT FOR BROILER FARMING INPUTS AND SALE OF FINISHED CHICKENS TO GROCHICK
This Contract (the “Agreement”) is made and entered into as of [insert date] by and between [insert name of GroChick], a company organized and existing under the laws of [insert jurisdiction], with its principal place of business located at insert address, and [insert name of farmer], an individual with a residence address at insert address.
WHEREAS, the Farmer desires to engage in broiler farming and requires inputs to produce broiler chickens; and
WHEREAS, GroChick desires to purchase the finished broiler chickens from the Farmer at a fixed rate for resale;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows:
- Purchase of Inputs
GroChick shall supply the Farmer with the necessary inputs for broiler farming, including but not limited to chicks, feed, and medication. The inputs shall be of good quality and meet any applicable standards for animal feed and medication. - Payment for Inputs
The Farmer shall pay GroChick for the inputs supplied based on the agreed-upon price for each input. Payment shall be made to GroChick at the time of delivery. - Sale of Finished Broiler Chickens
The Farmer shall sell the finished broiler chickens to GroChick at a fixed rate per chicken as agreed upon between the parties. The chickens shall be of good quality and meet any applicable standards for food safety and quality. - Inspection and Quality Control
GroChick shall have the right to inspect the finished broiler chickens upon delivery to ensure they meet the required standards for quality and safety. The Farmer shall cooperate with GroChick in any such inspection and take appropriate action to address any concerns identified by GroChick. - Representations and Warranties
The Farmer represents and warrants that the finished broiler chickens delivered hereunder shall be free from defects in material and workmanship, and shall comply with all applicable laws, rules, and regulations. - Indemnification
The Farmer shall indemnify and hold GroChick harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with any breach of this Agreement by the Farmer, or any claim that the finished broiler chickens delivered hereunder infringe any intellectual property rights or other rights of any third party. - Confidentiality
During the term of this Agreement, the parties may have access to certain confidential and proprietary information of the other party. The parties shall maintain the confidentiality of such information and shall not disclose or use it for any purpose other than the performance of services under this Agreement. - Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [insert jurisdiction]. Any legal action arising out of or relating to this Agreement shall be brought in the courts of [insert jurisdiction]. - Entire Agreement
