CONTRACT FOR FARMERS DELIVERING EGGS TO A DROP-OFF POINT
This Contract (the “Agreement”) is made and entered into as of [insert date] by and between [insert name of buyer], a company organized and existing under the laws of [insert jurisdiction], with its principal place of business located at insert address, and [insert name of farmer], an individual with a residence address at insert address.
WHEREAS, the Buyer desires to purchase eggs from the Farmer on an ongoing basis for resale; and
WHEREAS, the Farmer desires to deliver eggs to a designated drop-off point for payment and to collect feed for the chickens;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows:
- Delivery of Eggs
The Farmer shall deliver eggs to the designated drop-off point on a regular basis as agreed upon between the parties. The eggs shall be of good quality and meet any applicable standards for food safety and quality. - Payment for Eggs
The Buyer shall pay the Farmer for the eggs delivered based on the number of eggs received and the agreed-upon price per egg. Payment shall be made to the Farmer at the time of delivery. - Feed for Chickens
The Buyer shall provide the Farmer with feed for the chickens at the time of delivery of the eggs. The feed shall be of good quality and meet any applicable standards for animal feed. - Quality Control
The Buyer shall have the right to inspect the eggs upon delivery to ensure they meet the required standards for quality and safety. The Farmer shall cooperate with the Buyer in any such inspection and take appropriate action to address any concerns identified by the Buyer. - Representations and Warranties
The Farmer represents and warrants that the eggs delivered hereunder shall be free from defects in material and workmanship, and shall comply with all applicable laws, rules, and regulations. - Indemnification
The Farmer shall indemnify and hold the Buyer harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with any breach of this Agreement by the Farmer, or any claim that the eggs delivered hereunder infringe any intellectual property rights or other rights of any third party. - Confidentiality
During the term of this Agreement, the parties may have access to certain confidential and proprietary information of the other party. The parties shall maintain the confidentiality of such information and shall not disclose or use it for any purpose other than the performance of services under this Agreement. - Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [insert jurisdiction]. Any legal action arising out of or relating to this Agreement shall be brought in the courts of [insert jurisdiction]. - Entire Agreement
