CONTRACT FOR GRODRIVER ON-DEMAND DELIVERY SERVICE
This Contract (the “Agreement”) is made and entered into as of [insert date] by and between GroDriver, a company organized and existing under the laws of [insert jurisdiction], with its principal place of business located at insert address, and [insert driver name], an individual with a residence address at insert address.
WHEREAS, the Company provides on-demand delivery services to its customers through its platform called “GroDriver”; and
WHEREAS, the Driver desires to provide services as an independent contractor to the Company for the purposes of fulfilling delivery requests on the GroDriver platform; and
WHEREAS, the Company and Driver desire to enter into an agreement governing the terms and conditions of such services.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows:
- Services to be Provided by Driver
Driver agrees to provide on-demand delivery services to the customers of the Company through the GroDriver platform. The services shall include picking up goods from the collection point and delivering them to the customer’s destination. - Payment
The Company shall pay the Driver a fee of R5 per km for each delivery that the Driver completes. The fee shall be calculated based on the shortest distance between the collection point and the customer’s destination, as determined by the Company’s platform. - Independent Contractor Status
The Driver is an independent contractor and not an employee, partner, or agent of the Company. The Driver shall be solely responsible for all taxes, insurance, and other obligations related to the services provided by the Driver under this Agreement. - Term and Termination
This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon written notice to the other party. Either party may terminate this Agreement immediately upon notice if the other party breaches any material term or condition of this Agreement. - Confidentiality
During the term of this Agreement, the Driver may have access to certain confidential and proprietary information of the Company. The Driver shall maintain the confidentiality of such information and shall not disclose or use it for any purpose other than the performance of services under this Agreement. - Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [insert jurisdiction]. Any legal action arising out of or relating to this Agreement shall be brought in the courts of [insert jurisdiction]. - Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral.
